Employment Contract Addendum

This is a draft template of the standard Team Member Addendum K15 Labs signs with every employee. The exact document is filled in at hire with name, role, and effective date.

The binding addendum K15 Labs signs with every employee at hire - confidentiality, Work Product ownership, client separation, security, AI tools, and client non-circumvention. Bracketed fields are filled in at signing.

Parties and effective date

This Team Member Addendum (the "Addendum") is entered into between K15 Labs, LLC ("K15 Labs") and [Team Member name] ("Team Member").

This Addendum forms part of the Team Member's employment relationship with K15 Labs and supplements any offer letter, employment agreement, or similar employment document between the parties.

Relationship

The Team Member is employed by K15 Labs, not by K15 Labs' clients.

Nothing in this Addendum creates an employment, agency, partnership, or representative relationship between the Team Member and any K15 Labs client.

The Team Member must not represent themselves as an employee, agent, officer, director, or legal representative of any K15 Labs client.

Confidentiality

The Team Member must keep confidential all non-public information they receive or access through K15 Labs or any K15 Labs client.

This includes:

  • source code, repositories, tickets, documentation, credentials, logs, infrastructure, architecture, and technical systems;
  • customer data, user data, business data, product plans, pricing, roadmaps, and internal communications;
  • K15 Labs' internal processes, training, staffing model, pod operations, review standards, tools, and business information.

The Team Member may use Confidential Information only to perform assigned work for K15 Labs.

The Team Member must not disclose Confidential Information to anyone unless K15 Labs authorizes it and the person has a valid need to know.

These confidentiality obligations continue after the Team Member's employment with K15 Labs ends.

Work Product ownership

"Work Product" means anything the Team Member creates, writes, designs, configures, documents, or improves while performing K15 Labs work.

This includes:

  • source code;
  • configuration;
  • designs;
  • documentation;
  • scripts;
  • workflows;
  • tests;
  • technical decisions;
  • inventions;
  • improvements;
  • deliverables.

The Team Member assigns all rights in Work Product to K15 Labs from the moment the Work Product is created.

This assignment is automatic, continuous, and not dependent on later payment.

K15 Labs may assign client-specific Work Product to the relevant client under K15 Labs' client agreements.

The Team Member will sign reasonable documents if needed to confirm ownership or assignment of Work Product.

To the extent legally permitted, the Team Member waives any moral rights or similar rights that would prevent K15 Labs or its client from using, changing, assigning, or commercializing the Work Product.

No third-party materials without approval

The Team Member must not include third-party code, client code from another project, open-source code, copied templates, paid assets, or prior-employer materials in Work Product unless approved by K15 Labs.

The Team Member confirms that, to their knowledge, their Work Product will not violate rights of a former employer, client, or third party.

Client separation

The Team Member must keep each client's work separate.

The Team Member must not reuse one client's code, data, credentials, documents, designs, tickets, business information, or Confidential Information for another client.

General skills, experience, and engineering knowledge may be used across work, but client-specific materials may not.

Security

The Team Member must follow K15 Labs' and the assigned client's security instructions.

At minimum, the Team Member must:

  • use only approved accounts, devices, tools, and repositories;
  • use MFA where required;
  • keep devices locked and reasonably updated;
  • not share credentials;
  • not copy client secrets to personal storage;
  • not move client code, data, or documents outside approved systems;
  • report suspected security issues to K15 Labs without delay;
  • return or delete client materials when access ends.

AI tools

The Team Member may use only AI tools approved by K15 Labs or required by the client.

The Team Member must not paste client code, credentials, personal data, Confidential Information, or sensitive business information into unapproved AI tools.

AI-assisted work must meet the same quality, review, security, and confidentiality standards as any other work.

Personal data

If the Team Member accesses personal data, they may use it only as needed for assigned K15 Labs work.

The Team Member must not use personal data for any personal, unrelated, marketing, training, or experimental purpose.

The Team Member must follow K15 Labs' and the client's instructions for personal data.

Working standards

The Team Member must follow the assigned client's agreed process, including relevant rules for:

  • branches;
  • pull requests;
  • code review;
  • testing;
  • deployment;
  • documentation;
  • security;
  • incident response;
  • communication.

For code-producing roles, work must go through the required Technical Lead review before it ships.

Client non-circumvention

During the Team Member's employment with K15 Labs and for [12] months after it ends, the Team Member must not knowingly bypass K15 Labs to perform paid work directly for a K15 Labs client they were assigned to during the previous [12] months.

This restriction applies only to clients the Team Member personally worked with or had material confidential information about through K15 Labs.

This section does not prevent the Team Member from:

  • working for companies they never served through K15 Labs;
  • responding to general job ads not targeted at them because of their K15 Labs work;
  • working with a K15 Labs client if K15 Labs gives written approval;
  • using general skills, experience, and knowledge.

This section is intended only to protect K15 Labs' client relationships, confidential information, and managed pod model. It should be interpreted only as far as permitted by law.

Return of materials

When an assignment or the Team Member's employment with K15 Labs ends, the Team Member must return, delete, or stop using client and K15 Labs materials as instructed.

This includes code, credentials, documents, files, notes, access tokens, local copies, and Confidential Information.

General

If part of this Addendum is unenforceable, the rest remains in effect.

K15 Labs may seek injunctive relief if the Team Member breaches confidentiality, Work Product ownership, client separation, security, or client non-circumvention obligations.

This Addendum may be signed electronically.

Changes to this Addendum must be in writing and approved by both parties.
